Will The Babylon Bee finally be freed from Twitter jail because it made funny jokes?
Elon Musk has reversed course and is again proposing to buy Twitter for $54.20 a share, according to a regulatory filing on Tuesday. Twitter shares surged 22% to $51.83 when they reopened.
A deal could happen as soon as Friday, sources told CNBC. The stock was halted earlier in the day after Bloomberg first reported on the Tesla CEO's plans to go forth with his deal to acquire the company.
The SEC filing says Musk sent a letter to Twitter on Monday, notifying the company of his intent to proceed with the transaction agreed upon on April 25, the day the deal was publicly announced.
If you recall, Elon promised to buy the company for $44 billion earlier this year, but backed out when Twitter refused to disclose how many of its users are actually fake bot accounts. When Elon backed out of the deal, Twitter sued him, causing a massive court battle to ensue.
Here's what Elon's lawyer sent to Twitter's lawyers today:
Gentlemen:
On behalf of X Holdings I, Inc., X Holdings II, Inc. and Elon R. Musk (the "Musk Parties"), we write to notify you that the Musk Parties intend to proceed to closing of the transaction contemplated by the April 25, 2022 Merger Agreement, on the terms and subject to the conditions set forth therein and pending receipt of the proceeds of the debt financing contemplated thereby, provided that the Delaware Chancery Court enter an immediate stay of the action, Twitter vs. Musk, et al. (C.A. No. 202-0613-KSJM) (the "Action") and adjourn the trial and all other proceedings related thereto pending such closing or further order of the Court.
The Musk Parties provide this notice without admission of liability and without waiver of or prejudice to any of their rights, including their right to assert the defenses and counterclaims pending in the Action, including in the event the Action is not stayed, Twitter fails or refuses to comply with its obligations under the April 25, 2022 Merger Agreement or if the transaction contemplated thereby otherwise fails to close
C'mon, Elon!
We know that Twitter is a cesspool of human corruption and depravity.
But it's also where the internet comes for breaking news and hot takes. It's why the media and politicians are trying so hard to gatekeep and regulate it. They want to go back to the old regime where they control all information and tell us little people what to think.
There needs to be a digital public square, but if that square isn't run with the principles of liberty that allowed the physical public squares of America and Europe to bring innovation and human flourishing to new heights, then it's nothing more than a propaganda tool.
That's not fun for anyone. Most of us rational people want to be able to laugh, create, and discuss ideas freely โ especially the important, life-changing ones.
Libs of TikTok is banned right now (again) because she keeps telling people about hospitals that are castrating kids for money. The Bee is banned because it called a man a man. Scores of other people have been un-personed because they didn't bow to the will of the woke collective.
Elon says he wants to change that, and if he actually goes through with the purchase, I look forward to seeing him make good on that promise!
